1. Acceptance of Terms
By accessing or using the ALGORA1 platform ("Service"), operated by ALGORA1 ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Description of Service
ALGORA1 provides a web-based platform for creating, configuring, and running automated algorithmic trading strategies ("Engines"). The Service includes:
- Engine creation and management tools
- Real-time and historical market data visualization
- Backtesting capabilities
- Portfolio monitoring and analytics
- Integration with third-party brokerage services
3. Brokerage Services
ALGORA1 is a technology platform and does not provide brokerage services. Securities brokerage services are provided by Alpaca Securities LLC, a registered broker-dealer and member of FINRA/SIPC. By using our Service to trade securities, you are also subject to our clearing partner's terms, disclosures, and agreements.
Your brokerage account is held at and maintained by our registered clearing partner. ALGORA1 does not hold, custody, or control your funds or securities at any time.
4. Not Investment Advice
Nothing on this platform constitutes investment advice, a solicitation to buy or sell securities, or a recommendation of any particular strategy. ALGORA1 does not provide personalized investment recommendations. All trading decisions are made by you, or by algorithmic strategies you configure. Past performance does not guarantee future results.
5. Eligibility
To use the Service, you must be at least 18 years old, a legal resident of a jurisdiction where securities trading is permitted, and capable of entering into a binding legal agreement. You must also maintain an active subscription as required for your plan.
6. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information during registration and to update such information promptly. You must notify us immediately of any unauthorized access.

8. Notifications and Calculated Metrics
ALGORA1 may send you notifications via push notifications, email, Discord, or other channels about fills, portfolio changes, engine activity, and other events. These notifications — including any profit and loss ("P&L"), percentage return, cost basis, portfolio value, or performance figures they contain — are informational estimates calculated from data we receive from our clearing partner. They are not official trade confirmations or account statements.
Calculated figures in notifications and in the ALGORA1 dashboard may differ from your official brokerage statements due to rounding, wash-sale adjustments, corporate actions, tax-lot accounting methods (FIFO, LIFO, specific identification), settlement timing, or transient data-feed delays. For any purpose that requires authoritative figures — including tax reporting, dispute resolution, or account reconciliation — your official brokerage statements and Form 1099 documents from Alpaca Securities LLC are the authoritative record, not ALGORA1's displays or notifications.
Real-time price displays, portfolio charts, and intraday performance data may be delayed, incomplete, or temporarily inaccurate due to market data provider latency, network conditions, or system events. Do not rely solely on ALGORA1 displays for time-sensitive trading decisions without independent confirmation.
9. Subscription and Payments
Access to the Service requires a paid subscription processed through our payment provider. Subscriptions are billed on a recurring basis. You may cancel at any time, but refunds are not provided for partial billing periods. We reserve the right to change pricing with 30 days' notice.
10. Prohibited Conduct
You agree not to: reverse-engineer, decompile, or disassemble any part of the Service; use the Service to engage in market manipulation or any illegal activity; attempt to gain unauthorized access to other users' accounts or our systems; redistribute, sublicense, or resell access to the Service; or use the Service in any manner that could impair its operation.
11. Intellectual Property
All code, design, content, and technology comprising the Service are owned by ALGORA1 or its licensors. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your personal trading activities.
12. Limitation of Liability
To the maximum extent permitted by law, ALGORA1 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or trading losses, arising from your use of the Service. Our total liability shall not exceed the fees you paid in the 12 months preceding the claim.
13. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that trading algorithms will perform as expected under all market conditions.
14. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.
15. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

1. Information We Collect
Account Information: When you register, we collect your email address, password (stored as a salted hash — we never store plaintext passwords), and your subscription customer ID to verify subscription status.
Brokerage Information: If you open a brokerage account through our platform, personal information required for KYC (Know Your Customer) verification — including your name, date of birth, address, Social Security Number, and employment information — is transmitted directly to our registered clearing partner. We do not store your SSN or tax ID on our servers.
Usage Data: We collect information about how you use the Service, including engine configurations, trading activity logs, and feature usage patterns. This helps us improve the platform and provide support.
Technical Data: We automatically collect your IP address, browser type, device information, and connection data for security and service operation purposes.
2. How We Use Your Information
We use your information to:
- Operate and maintain the Service, including user authentication and subscription management
- Execute and monitor your configured trading strategies
- Communicate important service updates, security alerts, and support responses
- Improve the Service through aggregate analytics (no individual tracking for advertising)
- Comply with legal and regulatory obligations
3. Information Sharing
We do not sell, rent, or trade your personal information. We share information only with:
- Our clearing partner (Alpaca Securities LLC) — for brokerage account operations and regulatory compliance
- Our payment processor — for payment processing (we do not store credit card numbers)
- Law enforcement — only when required by valid legal process
4. Data Storage and Security
Your data is stored on secured cloud infrastructure. We implement industry-standard security measures including encryption in transit (TLS), encrypted storage for sensitive credentials, and access controls. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
5. Data Retention
We retain your account data for as long as your account is active. Trading logs and engine data are retained for a minimum of 3 years for regulatory compliance purposes. Upon account deletion, personal data is removed within 30 days, though anonymized aggregate data may be retained.

- Access the personal data we hold about you
- Correct inaccurate data by updating your account settings
- Delete your account and personal data (subject to regulatory retention requirements)
- Export your trading data and engine configurations

7. Cookies and Tracking
We use a single session cookie for authentication. This is an essential, functional cookie required for the Service to operate. We do not use advertising cookies, third-party tracking pixels, or analytics platforms that track individual users across sites.

The Service integrates with third-party providers for brokerage operations and payment processing, each governed by their own privacy policies. We encourage you to review the privacy policies of our service partners, which are available upon request or through your account settings.
9. Children's Privacy
The Service is not intended for anyone under the age of 18. We do not knowingly collect personal information from minors. If we learn that we have collected data from a person under 18, we will delete it promptly.
10. California Residents (CCPA)
If you are a California resident, you have additional rights under the California Consumer Privacy Act, including the right to know what personal information we collect, the right to delete your information, and the right to opt out of the sale of personal information. As stated above, we do not sell your personal information.
